Terms of Service | Vaayu Labs

1. Services

Vaayu Labs provides custom software development, automation systems, and consulting services. Each project is governed by a separate agreement outlining scope, deliverables, and payment terms.

2. Intellectual Property

Upon full payment, clients receive ownership of custom code developed specifically for their project. Vaayu Labs retains rights to:

Pre-existing code, libraries, and frameworks
Generic components that may be reused across projects
Methodologies and processes developed during the engagement

3. Payment Terms

Payment terms are specified in individual project agreements. Standard terms:

50% upfront deposit to begin work
Milestone-based payments for larger projects
Final payment upon project completion
Retainer payments due at the start of each month

4. Confidentiality

We maintain strict confidentiality of all client information, business processes, and proprietary data shared during engagements. NDAs are available upon request.

5. Warranties & Liability

We warrant that deliverables will substantially conform to agreed specifications. Our liability is limited to the fees paid for the specific service in question. We are not liable for indirect, consequential, or incidental damages.

6. Project Changes

Scope changes are subject to written agreement and may affect timeline and cost. We provide transparent communication about any changes and their impact.

7. Termination

Either party may terminate with written notice. Upon termination:

Client pays for work completed to date
Client receives all completed deliverables
Both parties return confidential information

8. Governing Law

These terms are governed by the laws of India. Disputes shall be resolved through arbitration in Pune, Maharashtra.
